We serve the typical charitable companies (also known as non-profit-making companies or in some cases NGOs) in all legal forms, sectors and sizes. These include, for example, social services, welfare associations, relief organizations, facilities for development aid, research and development facilities, incl. public testing centres and energy centres, zoos, profession and industry associations etc.
These companies are managed in the legal form of the foundation, the public limited company (Gesellschaft mit beschränkter Haftung - GmbH), the society, and in some cases in own operations of public authorities.
These companies require very specialized counseling:
The German legislation promotes charitable companies through a variety of different tax privileges, particularly with respect to income tax and sales tax. These granted advantages, however, are dependent upon strict preconditions, among other things, with respect to the activity of the company, the application of funds and the correct and right accounting. These non-profit-making legal criteria must be satisfied actually and in the long run. The loss of the non-profit making qualification can be of existential significance. Therefore, the tax and thus coherent legal counseling is of decisive importance.
In addition, the non-profit-making organizations require special knowledge in the area of auditing or the preparation of annual accounts because here special features, especially in connection with the law governing societies and foundations.
The auditing of the receipt and the application of public grants, hereby, is becoming increasingly important. In particular, the granting of subsidies from EU funds requires an extensive audit on basis of the contract and the EU-promotion regulations with the application of international auditing standards.
In addition, we support our clients through the preparation of individual
commercial optimization plans, the restructuring and re-establishment processes and other legal aspects of the legal form, the company management or executive board activity etc.
